Introduction & Acceptance Welcome to Marine Matrix (marine-matrix.com) (the “Website”), an online Global Ship Suppliers Directory operated by Marine Matrix Limited (“Company”, “we”, “us”, “our”), a company registered in England and Wales with its registered office at Suite 5329 Unit 3A, 34-35 Hatton Garden, Holborn, London, EC1N 8DX. These Terms and Conditions (“Terms”) govern your access to and use of the Website and its content, features, and services (the “Service”). By accessing, Browse, registering for, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. 2. Description of Service Marine Matrix provides an online directory listing ship suppliers and related businesses globally. The Service may include features allowing registered users (including suppliers) to create accounts, manage listings, post reviews, and access premium features subject to payment. We facilitate connections but are not a party to any transactions or communications between users and listed suppliers.

3. User Accounts

  • Registration: To access certain features (like managing listings or posting reviews), you may need to register for an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate.  
  • Security: You are responsible for safeguarding your account password and for any activities or actions under your account. You agree not to disclose your password to any third party. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.  
  • Termination: We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever, including without limitation if you breach the Terms.  

4. User-Generated Content (Listings, Reviews, Comments)

  • Responsibility: You are solely responsible for any data, text, information, graphics, photos, profiles, audio and video clips, links, reviews, comments, or other content (“User Content”) that you submit, post, display, or otherwise make available on the Service.
  • License Grant: By submitting User Content, you grant Marine Matrix Limited a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform the User Content in connection with the Service and our business, including for promoting the Service.  
  • Prohibited Content: You agree not to post User Content that: is fraudulent, false, misleading, or deceptive; is defamatory, obscene, pornographic, vulgar, or offensive; promotes discrimination, bigotry, racism, hatred, harassment, or harm against any individual or group; is violent or threatening or promotes violence or actions that are threatening to any person or entity; promotes illegal or harmful activities or substances; or infringes a third party’s intellectual property rights, privacy rights, or publicity rights.  
  • Moderation: We reserve the right, but are not obligated, to monitor, screen, edit, or remove User Content at our sole discretion and without notice. We are not responsible for any User Content posted by you or other users.

We are not responsible for errors by the payment processor.

Subscriptions automatically renew unless cancelled by you or terminated by us. You may cancel your subscription renewal through your account settings or by contacting us.

The compilation of all content, including User Content arranged in the directory, is the exclusive property of Marine Matrix Limited. The Service is protected by copyright, trademark, and other laws of England and Wales and foreign countries.  

8. Directory Listings & Third-Party Information

  • We do not verify, warrant, or endorse the accuracy, completeness, reliability, or timeliness of any User Content, including directory listings and reviews. Reliance on any information provided by the Service is solely at your own risk.
  • Your interactions with suppliers found through the Service, including payment and delivery of goods or services, and any other terms, conditions, warranties or representations associated with such dealings, are solely between you and such supplier. You agree that Marine Matrix Limited shall not be responsible or liable for any loss or damage of any sort incurred as the result of any such dealings.  

9. Disclaimers & Limitation of Liability

  • Disclaimer of Warranties: The Service is provided “AS IS” and “AS AVAILABLE” without warranties of any kind, either express or implied. We do not warrant that the Service will be uninterrupted, secure, or error-free, nor do we warrant the accuracy or reliability of any information obtained through the Service, including User Content.  
  • Limitation of Liability: To the fullest extent permitted by applicable law, Marine Matrix Limited, its affiliates, officers, directors, employees, agents, suppliers, or licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party (including listed suppliers or reviewers) on the Service; (iii) any content obtained from the Service; and (iv) unauthorized access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence), or any other legal theory, whether or not we have been informed of the possibility of such damage.  

10. Links to Other Web Sites Our Service may contain links to third-party websites or services (e.g., supplier websites) that are not owned or controlled by Marine Matrix Limited. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party websites or services.
